- Participates in US based deal processes from start to finish to ensure that Vitality’s best interests are represented, and that through contracts we maintain an appropriate balance between reasonable risk and growth goals.
- Analyzes and effectively negotiates contract terms that support our business objectives, while complying with applicable laws and company policies.
- Independently review, draft, and negotiate contracts, amendments, and templates in support of the growing business ventures including customer, reseller, partnership, and other commercial agreements, including applicable data privacy provisions.
- Provide clear, concise, and practical legal and commercial advice and counsel to business teams on a wide array of business and contractual issues while coordinating with other legal team members and stakeholders as necessary to collaborate effectively across all levels of the organization.
- Partner with the business to successfully drive the initiatives they are championing and to provide overall support for execution of commercial strategy.
- Manage a growing legal team and establish relationships with company stakeholders to effectively collaborate across all levels of the organization.
- Provide direct support to General Counsel in various functions including US transactions, corporate filings and management and other tasks as required.
- Train and enhance the US contract manager function to ensure responsibility for the day-to-day management of Vitality’s commercial agreements including: legal oversight, some supervision and developing creative legal solutions to complex commercial negotiations.
- Enhance existing legal team and function to more proactively support product development and emerging business needs in a compliant and risk reducing manner.
- Conduct training sessions for internal team members on procedures and other contract or legal topics, as necessary.
Minimum Qualifications:
- Minimum of five to seven years of relevant transactional experience in a top tier law firm or corporate law department, including experience in the health, insurance, or wellness space.
- Experience managing and developing a growing legal team and function, including aspects of compliance.

- JD from a top-tier accredited law school and licensing to practice law in any US jurisdiction.
